Acceptance of These Terms

These Terms and Conditions (“Terms”) are a contract between you and Bidoro Technologies Limited (trading as Bidoro) (“Bidoro,” “we,” “us,” or “our”). They govern your access to and use of www.bidoro.africa, our mobile experiences, and related services (the “Platform”).

By accessing or using Bidoro, you agree to these Terms, our Privacy Policy, Cookie Policy, Escrow Policy, Dispute Resolution Policy, KYC & Identity Verification Policy, and other policies linked on the Platform. If you do not agree, do not use Bidoro.

1. About Bidoro

Bidoro is a digital marketplace that connects buyers and sellers for goods and services (new, used, and handmade, where permitted). We provide tools such as listings, messaging, payment facilitation, dispute processes, and delivery coordination. We are not the seller or manufacturer of items listed by users, except where we clearly say otherwise.

2. Eligibility

To use Bidoro you must:

  • Be at least 18 years old, or use the Platform under a legal guardian
  • Provide accurate and complete registration information
  • Not have been previously suspended or banned from Bidoro

By using the Platform, you confirm that you meet these requirements.

Sellers. Anyone who lists, offers services, or receives payouts must also complete seller identity verification (Section 5A) before they may list, receive orders, or withdraw funds.

3. User Accounts

You are responsible for:

  • Keeping your login details confidential
  • All activity under your account
  • Keeping your information truthful, current, and complete

We may suspend or terminate accounts that provide false information, fail required verification, or engage in suspicious activity.

4. Role of Bidoro

Bidoro acts as an intermediary platform that:

  • Enables buyers and sellers to find and transact with each other
  • May facilitate payments (including holding funds via a licensed payment partner) and delivery support
  • May intervene in disputes as described in these Terms and the Dispute Resolution Policy

We do not guarantee the quality, safety, or authenticity of items listed by users. Buyer Protection, where it applies, is described in the Buyer Protection Policy and is subject to the time limits in the Dispute Resolution Policy.

5. Listings and Transactions

For sellers

Sellers agree that:

  • All listings are accurate and not misleading
  • Items may legally be sold
  • Prices, descriptions, and images represent the actual item
  • They will fulfil orders promptly once payment is confirmed
  • They will complete and maintain seller verification (Section 5A)

For buyers

Buyers agree that:

  • They will review listings carefully before paying
  • They will pay only through approved Bidoro channels
  • They will not take the deal off-platform (doing so removes Buyer Protection)

5A. Seller Identity Verification (Required)

Before you may sell or receive payouts, you must complete Bidoro's seller onboarding, which typically includes:

  • Address, state, and LGA
  • NIN and government ID
  • BVN, used to set up a payout wallet with our licensed payment partner
  • A guided liveness check (camera; face images or a short video matched to your NIN). This is required
  • Device location permission (precise GPS). This is required for vendors
  • Business / store details and proof of address where we ask for them
  • Political-affiliation / PEP answers where we ask for them

You must not use another person's face, NIN, BVN, or ID, or fake or spoof location or camera checks. Refusal or failure may mean we refuse, suspend, or close seller access and hold related payouts.

How we use this data is in the Privacy Policy and the KYC & Identity Verification Policy. We do not publish the names of verification or payment providers in these Terms.

6. Prohibited Items and Activities

You may not list, sell, or promote:

  • Stolen goods
  • Illegal drugs or controlled substances
  • Weapons and dangerous items where prohibited by law
  • Counterfeit or pirated goods
  • Human body parts or illegal services
  • Any item or service that violates Nigerian law

We may remove listings or suspend accounts that break these rules.

7. Payments and Escrow

Bidoro provides secure payment solutions through a licensed payment partner.

  • Payments for protected transactions are held via the licensed payment partner and are not released immediately to the seller
  • We may charge service fees or commissions, disclosed before you complete a transaction
  • You must not bypass Bidoro's payment system
  • BVN and related payout data are shared only with the licensed payment partner as needed to open and operate a seller wallet. We do not sell this data

We are not responsible for delays caused by banks or payment providers. If no valid dispute is opened within the window in Section 9, held funds may be released to the seller as set out in the Escrow Policy.

8. Delivery and Logistics

Where delivery is used through Bidoro:

  • Timelines are estimates and may vary
  • Risk may pass to the buyer upon confirmed delivery
  • Users must give accurate delivery details

We are not liable for delays caused by logistics partners beyond our reasonable control. See the Shipping & Delivery Policy.

9. Disputes Between Buyers and Sellers

Bidoro may offer a dispute process to promote a fair outcome. Details are in the Dispute Resolution Policy.

  • Buyers must open a dispute within one (1) hour of delivery confirmation (or as otherwise stated in the Dispute Resolution Policy for non-delivery)
  • Sellers must cooperate and respond, typically within twenty-four (24) hours of notification
  • We may request evidence from both parties and pause related releases
  • Our decision is final for Platform escrow / refund instructions. We are not a court. This does not remove your legal rights under Nigerian law

If a longer period appears on an older Buyer Protection page (for example, 48 hours), the two-hour window in the Dispute Resolution Policy and Escrow Policy applies to protected Bidoro transactions until those pages are updated to match it.

10. Fees and Charges

We may charge:

  • Transaction commissions
  • Delivery coordination fees
  • Promotional or premium listing fees

Applicable fees will be disclosed before you complete a transaction.

11. User Conduct

You agree not to:

  • Harass, threaten, or abuse other users
  • Interfere with the operation or security of the Platform
  • Attempt to access other users' accounts or data
  • Circumvent verification, location, or payment controls

12. Suspension and Termination

We may:

  • Remove listings
  • Suspend or permanently ban accounts
  • Withhold funds related to suspicious or fraudulent activity

especially where you violate these Terms, fail verification, or break applicable law.

13. Intellectual Property

Platform content (logos, text, software, design) belongs to Bidoro or its licensors. You may not copy, modify, or distribute it without permission.

You grant Bidoro a licence to display and use your listing content to operate and promote the Platform.

14. Limitation of Liability

To the maximum extent permitted by law, Bidoro is not liable for:

  • Losses arising from user-to-user transactions
  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities

15. Indemnification

You agree to indemnify and hold Bidoro harmless from claims, damages, or losses arising from:

  • Your breach of these Terms
  • Your violation of any law
  • Your transactions with other users

16. Privacy and the NDPC

Your use of Bidoro is also governed by our Privacy Policy, which explains how we collect and use personal data under Nigerian data protection law as administered by the Nigeria Data Protection Commission (NDPC).

You may complain to the NDPC about our handling of personal data. See the Privacy Policy for contacts.

17. Changes to These Terms

We may update these Terms at any time. We will post the new version on the Platform and change the “Last updated” date. Significant changes may also be notified in-product or by email. Continued use after an update means you accept the revised Terms.

18. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes may be subject to the jurisdiction of Nigerian courts, without limiting any right to lodge a complaint with the NDPC regarding personal data.
